Most founders meet the law for the first time in the fine print. It might be a term sheet with a clause they don’t fully follow, an ESOP pool that needs structuring, or a compliance filing standing between them and a funding round. Vritika Arora encountered this repeatedly during her early career, an experience that eventually shaped her decision to establish her own practice.
Vritika is a Delhi-based lawyer with a BBA LL.B. (Hons.) from Amity University, Noida, and an LL.M. in Corporate and Financial Law from Jindal Global Law School. She began her career at Burgeon Law then worked at Kotak Alternate Asset Managers, among other firms. Those years put her on both sides of the deal table: sometimes alongside founders raising capital, sometimes alongside the investors deploying it.
That dual view shaped what she noticed. The founders she worked with often needed more than someone to draft a document. They needed someone who understood the pace and improvisation of building a company from scratch. “I wanted to build a boutique practice focused on the venture ecosystem, with an advisory approach grounded in understanding each client’s business context,” she says.
In September 2023, she founded Vantage Law Advisors (VLA), with offices in Delhi NCR and Mumbai. VLA was established to work with early-stage businesses across different stages of their development, including incorporation, fundraising, team expansion, data protection compliance and eventual exits.
Learning from both sides
Because of Vritika’s background, VLA works with founders as well as with the angel investors, investment funds and high-net-worth individuals who back them. The firm has represented over 100 clients on venture transactions, domestic and cross-border. Its work spans corporate and commercial contracts, venture capital and private equity deals, employment law, regulatory compliance for companies, LLPs and Alternative Investment Funds, and privacy and data protection. It also structures Category I, II and III AIFs under SEBI regulations, and funds under the IFSCA framework in GIFT City.
Vritika resists a one-size-fits-all approach. “Every business has a different stage of growth, business model, risk profile and set of objectives,” she says. So the firm starts by understanding those variables before advising on an appropriate course of action, an approach that continues to inform the firm’s working style as it grows.
A team built around context
She is no longer building alone. Nikita Sukhathankar and Shubhika Goyal have joined as Partners. Nikita brings venture capital and private equity transaction experience from Treelife Consulting, Alsisar Impact, Burgeon Law and LexStart Partners. Shubhika, an Associate Member of the Institute of Company Secretaries of India, leads compliance work across FEMA, RBI and NBFC matters, and PE fundraising transactions. Vritika herself has been named in the BW Legal World 30 Under 30, a recognition she calls “particularly meaningful” given the specialised practice she set out to build.
The culture she describes rests on client-centricity, ownership and continuous learning. “Legal issues are often closely connected with commercial decisions,” she says, and she wants her team to look past the immediate question to the business reasons behind it. The same thinking governs technology at the firm. Digital tools help with research, due diligence and document management, but the legal team reviews every output before it informs client advice.
The Next Chapter
Looking ahead, Vritika envisions a future built on thoughtful growth, deeper expertise and enduring client relationships. As Vantage Law Advisors continues to evolve, the focus remains on strengthening its capabilities across venture capital, regulatory compliance, employment law and emerging technology law, while preserving the personalised approach and close client relationships that have shaped the firm since its inception.
“The objective is not merely to become a larger firm,” she says,
“but to build an institution with a strong identity, a capable team, and lasting relationships.”
As the firm enters its next phase, this philosophy continues to guide its journey, combining professional
excellence with a commitment to building a practice defined not simply by its scale, but by the trust it earns
and the value it creates.
